Subscription License Terms

These Subscription License Terms ("License Terms") govern the use of the Madrona platform (the "Software"), a cloud-hosted software service provided by Madrona, LLC ("Madrona," "we," "us," or "our"). These License Terms supplement the Terms of Service and any applicable order form or statement of work ("Order Form"). In the event of a conflict, the Order Form takes precedence, followed by these License Terms, followed by the Terms of Service.
1. License Grant
Subject to these License Terms and payment of applicable fees, Madrona grants Customer a non-exclusive, non-transferable, non-sublicensable right to access and use the Software during the subscription term, solely for Customer's internal business purposes in connection with managing cultural heritage collections, media assets, content publishing, and related data.
The Software is provided as a hosted service. No software is delivered to or installed on Customer's systems (except for browser-based access). Customer does not acquire any ownership interest in the Software.
2. Authorized Users
The number and type of authorized users are specified in the Order Form. Customer is responsible for ensuring that only authorized users access the Software and that each user account is used by a single individual.
Customer administrators are responsible for creating, managing, and deactivating user accounts and for assigning appropriate roles and permissions within the platform.
3. License Restrictions
Customer will not:
- Copy, modify, adapt, or create derivative works of the Software.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
- Sublicense, rent, lease, sell, or otherwise transfer access to the Software to third parties.
- Remove, alter, or obscure any proprietary notices or labels on the Software.
- Use the Software to develop a competing product or service.
- Use the Software in a manner that exceeds the scope of the license granted or violates applicable law.
- Access the Software through any means other than the interfaces provided by Madrona (web application, documented APIs).
4. Platform Applications
The Software includes applications for collection management, digital asset management, and content publishing with public collection access. The specific applications available under Customer's subscription are identified in the Order Form.
4.1 Available Applications
- Collections - collection management with cataloging, location tracking, loans, acquisitions, exhibitions, and condition reporting.
- Media - digital asset management with rights tracking, derivative generation, watermarking, and image serving.
- Content - website builder with block-based pages, blog publishing, event calendars, exhibition guides, and public collection access.
4.2 Public Collection Access
The Software includes the ability to publish selected collection records to a public-facing API. This capability is controlled entirely by the customer - no records are published unless the customer explicitly configures publication. Customer is responsible for ensuring that any publicly accessible content complies with applicable laws and third-party rights.
5. Data and Export
5.1 Customer Content
Customer retains all rights to Customer Content. Madrona processes Customer Content solely to provide the Software. See the Terms of Service for details on content ownership and licensing.
5.2 Data Export
The Software provides export functionality in standard formats, including JSON, CSV, and JSON-LD. Export capabilities are provided as platform features and may vary by application and data type. We aim to support comprehensive data export but do not guarantee that all data and metadata will be exportable in every format.
5.3 Audit Logs
The Software maintains audit logs recording data changes, including the user, timestamp, and before/after values for field-level modifications. Audit logs are accessible within the platform and can be exported. Audit logging is a platform feature designed to support accountability and governance; it is not a guarantee of completeness for regulatory compliance purposes.
6. Standards Support
The Software is designed to support cultural heritage standards and interoperability protocols, including:
- Getty vocabularies (AAT, ULAN, TGN) via live integration.
- IIIF Image API 3.0 and Presentation API 3.0 for image serving and manifest generation.
- JSON-LD export suitable for linked data use cases, including CIDOC-CRM mapping.
- Cataloging informed by CDWA (Categories for the Description of Works of Art).
These are described as supported standards and design influences, not as certifications or formal compliance claims. Implementation details may vary and evolve over time.
7. Intellectual Property
7.1 Madrona IP
All right, title, and interest in the Software - including source code, architecture, user interface design, documentation, APIs, and trademarks - belongs to Madrona. The license granted herein does not convey ownership of any Madrona intellectual property.
7.2 Customer IP
All right, title, and interest in Customer Content belongs to Customer. Madrona acquires no intellectual property rights in Customer Content, except the limited license to process it as described in these License Terms and the Terms of Service.
7.3 Feedback
If Customer provides suggestions, feature requests, or other feedback about the Software ("Feedback"), Madrona may use that Feedback without restriction or obligation. Feedback does not create any confidentiality obligation on Madrona's part, and Madrona is not required to implement any Feedback.
8. Configuration and Integration
The Software supports configuration of field layouts, controlled vocabularies, permissions, and data pipelines. Custom configuration performed during implementation is part of the Software instance and is subject to these License Terms. Customer retains the right to export configuration data (field definitions, vocabulary mappings) in standard formats upon request.
The Software includes data integration capabilities that connect to external databases, APIs, and file systems as configured by the customer or during implementation. Madrona is not responsible for the availability, accuracy, or security of external systems connected via these integration features.
9. Beta and Early Access Features
Certain applications or features may be designated as "Beta" or "Early Access." Beta and early access features:
- Are provided "as is" without any warranty or service level commitment.
- May be modified, suspended, or discontinued without advance notice.
- May contain bugs, errors, or incomplete functionality.
- Should not be relied upon for critical production workflows without Customer accepting the associated risks.
Customer's use of early access features is voluntary. Feedback on these features is encouraged and helps inform their development.
10. Termination Effects
Upon expiration or termination of the subscription:
- Customer's right to access the Software terminates immediately.
- Customer Content remains available for export for thirty (30) days following termination, in standard formats (JSON, CSV, JSON-LD).
- After the export period, Madrona may delete Customer Content from production systems. Backup copies may persist for a limited additional period consistent with standard backup retention schedules.
- Configuration data (field definitions, vocabulary mappings, pipeline configurations) is included in the export upon request.
- Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, and Confidentiality) will survive.
